Terms of Service
Last updated:
1. Agreement to these terms
These Terms of Service (“Terms”) constitute a binding legal agreement between you (“you”, “your”, the “Creator” or “User”) and SlideReply, a business based in Hyderabad, India (“SlideReply”, “we”, “us”, or “our”), and govern your access to and use of the SlideReply website, dashboard, application programming interfaces, and related services (together, the “Service”). By creating an account, connecting an Instagram account, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Refund Policy, each of which is incorporated into these Terms by reference. If you do not agree, you must not access or use the Service.
You represent that you are at least 18 years old and have the legal capacity to enter into these Terms; and, where you accept these Terms on behalf of a company or other legal entity, that you are authorised to bind that entity, in which case “you” refers to that entity. In these Terms, “End User” means any person who comments on, replies to, or messages your Instagram content and whose personal data is thereby processed through the Service.
In the event of any conflict, the following order of precedence applies: (1) any separate written agreement signed by both parties; (2) these Terms; (3) the Privacy Policy; and (4) the Refund Policy. Section headings are for convenience only and do not affect interpretation, and the word “including” means “including without limitation”.
2. What SlideReply does
SlideReply is an automation tool for Instagram creators and businesses. You connect your own Instagram professional account; when a person comments a keyword you choose on one of your own posts or reels, replies with that keyword to your story, or comments it during your live broadcast, SlideReply sends that person a private message you configured — at a safe, paced rate — and, where you enable it, can send a follow-up within Instagram’s standard messaging window and surface conversations needing your attention in an Open Leads inbox. The features, limits, and prices of each plan are described on our Pricing page and may change over time.
3. Eligibility and your account
To use SlideReply you must:
- be at least 18 years old and meet Instagram’s minimum age;
- connect a valid Instagram professional (Business or Creator) account that you own or are authorized to manage;
- provide accurate information and verify your email address;
- keep your login credentials secure — you are responsible for all activity under your account.
Notify us promptly if you suspect unauthorized use of your account.
4. Connecting Instagram and your authorization
When you connect Instagram, you authorize SlideReply — through Meta’s official API — to receive the comments, story replies and live comments made on your content, to send the messages your automations define on your behalf, and, where you enable the relevant feature, to send follow-ups within the standard messaging window and to confirm (only after the person consents) whether a commenter follows your account. We act only on the account you connect and only on your own content. You may revoke this authorization at any time by disconnecting in Settings, permanently removing a disconnected account and all of its data from Settings, or removing the app from within Instagram. How each option affects your data — including which actions delete data immediately and which retain it for a limited grace period — is described on our Data Deletion page.
Your use of Instagram through SlideReply is also subject to Meta’s and Instagram’s own terms and policies.
5. Acceptable use
You agree not to use SlideReply to:
- send spam, unsolicited, deceptive, or harassing messages;
- violate the Meta Platform Terms, Instagram Community Guidelines, or any applicable law;
- send unlawful, infringing, hateful, or harmful content;
- impersonate others or message people who did not comment on your content;
- circumvent rate limits, safety controls, or usage allowances;
- scrape, reverse-engineer, resell, or build a competing service from SlideReply;
- attempt to access another user’s account or data.
You are solely responsible for the messages you configure and send through SlideReply, and you represent that you have the right to send them.
6. Your content
You retain ownership of the automations, message templates, links, and other content you create (“Your Content”). You grant SlideReply a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, and display Your Content solely to the extent necessary to operate and provide the Service to you. You represent and warrant that you own or hold all rights necessary to Your Content and to authorise its use as contemplated here, and that Your Content, and its transmission through the Service, comply with these Terms, Meta’s policies, and applicable law.
If you send us suggestions, ideas, or other feedback about the Service (“Feedback”), you grant SlideReply a perpetual, irrevocable, worldwide, royalty-free licence to use and exploit that Feedback for any purpose, without restriction and without any obligation to you.
7. Plans, billing, and renewal
- Free plan — available at no cost with the limits shown on the Pricing page.
- Paid plans (Pro, Ultimate) — a flat monthly price for your SlideReply account (one Instagram account per login), in your local currency (₹ INR for India, $ USD elsewhere — detected automatically).
- Paid subscriptions renew automatically each month until you cancel. By subscribing you authorize recurring charges via our payment processor, Razorpay.
- Your subscription rate is price-locked for as long as you remain continuously subscribed to that plan.
- Upgrades take effect immediately; downgrades take effect at the start of your next billing period.
- Prices are exclusive of any taxes that may apply, which will be added where required.
- If a renewal payment fails, we may retry, and your account may be downgraded to Free until payment succeeds.
- All fees are exclusive of taxes, levies, and duties (including GST, VAT, and withholding taxes), which are your responsibility and will be added where applicable; where you are required by law to withhold any amount, you will pay us such additional sum as ensures we receive the full amount otherwise due.
- All fees are non-refundable except as expressly stated in the Refund Policy or as required by mandatory law. You agree to contact us to resolve any billing concern before initiating a chargeback or payment dispute; a chargeback raised without doing so may result in suspension of the Service and recovery of the amounts owed and associated costs.
Refunds are governed by our Refund Policy.
8. Cancellation
You can cancel a paid plan at any time from your dashboard. Cancellation stops future renewals; you keep paid features until the end of the period you already paid for, after which the account moves to the Free plan. Cancelling does not by itself trigger a refund of the current period — see the Refund Policy.
9. Service availability and changes
We work hard to keep SlideReply available and reliable, but we provide it on a best-effort basis without guaranteed uptime. SlideReply depends on the Instagram/Meta API, which Meta controls and may change, limit, or interrupt at any time; such changes may affect or temporarily disable features through no fault of ours. We may add, modify, or remove features.
10. Account safety and Instagram limits
SlideReply paces messages and respects Instagram’s limits to help protect your account. However, Instagram independently enforces its own rules and rate limits and may restrict, suspend, or take action on any account. You use SlideReply at your own discretion, and we are not responsible for actions Instagram takes on your account. Use messaging responsibly and within Meta’s policies.
11. Intellectual property
SlideReply, including its software, design, and branding, is owned by us and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the service; they do not transfer any ownership of SlideReply to you.
12. Third-party services
SlideReply relies on third-party services — including Meta/Instagram, Razorpay, and our infrastructure providers. Your use of features that depend on them is also subject to their terms, and we are not responsible for their acts, omissions, or availability.
13. Disclaimers
SlideReply is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will achieve any particular result.
14. Limitation of liability
To the maximum extent permitted by applicable law, and except for liabilities that cannot lawfully be excluded or limited, SlideReply and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, whether based in contract, tort (including negligence), strict liability, or any other theory, and whether or not we were advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amounts you paid us for the Service in the three months immediately preceding the event giving rise to the claim, or (b) INR 5,000. These limitations apply in the aggregate to all claims, form an essential basis of the bargain between you and us, and will apply even if a limited remedy is found to have failed of its essential purpose. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
15. Indemnification
You agree to indemnify and hold SlideReply harmless from claims, damages, and expenses (including reasonable legal fees) arising from the content you send through the service, your violation of these Terms or any law, or your misuse of the service.
16. Suspension and termination
You may stop using SlideReply and delete your account at any time. We may suspend or terminate your access, in whole or in part, with or without notice, if you breach these Terms, misuse the Service, violate Meta’s policies or applicable law, create risk or legal exposure for us, or where reasonably necessary to protect the platform or other users. Where practicable and lawful, we will give you notice and an opportunity to cure a remediable breach.
On any termination or expiry, your right to access and use the Service ends immediately, any fees accrued become due, and your data is handled as described in the Privacy Policy and on the Data Deletion page. Any provisions that by their nature should survive termination — including the licences over Your Content and Feedback, accrued payment obligations, disclaimers, limitation of liability, indemnification, governing law and dispute resolution, and these general provisions — will survive.
17. Force majeure
We are not liable for any failure or delay in providing SlideReply caused by events beyond our reasonable control — including changes to or outages of the Instagram/Meta API, acts of God, natural disasters, war, civil unrest, government action, labour disputes, network or power failures, or failures of third-party infrastructure or payment providers. Our obligations are suspended for as long as such an event continues.
18. Governing law and dispute resolution
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to any mandatory consumer-protection rights you have in your country of residence, the courts located in Hyderabad, India will have exclusive jurisdiction over any dispute arising from these Terms or your use of SlideReply.
Before starting any formal proceeding, you agree to first contact us at privacy@slidereply.com so we can try to resolve the matter informally. Any dispute that cannot be resolved that way may be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Hyderabad, India, conducted in English.
Individual claims only. To the fullest extent permitted by applicable law, disputes will be resolved only on an individual basis, and you and SlideReply each waive any right to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims or preside over any representative proceeding. Nothing in this Section prevents either party from seeking urgent injunctive or equitable relief from a court to protect its intellectual property or confidential information, or from bringing a claim in a small-claims forum where available.
Time limit for claims. To the extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be commenced within one (1) year after the cause of action accrues, failing which it is permanently barred. Nothing in this Section limits any mandatory rights you may have as a consumer under the law of your country of residence.
19. General terms
- Entire agreement. These Terms, the Privacy Policy, and the Refund Policy are the whole agreement between you and us about the service and replace any earlier understandings.
- Severability. If any provision is found unenforceable, the rest of the Terms remain in full effect.
- No waiver.If we don’t enforce a right immediately, that isn’t a waiver of it.
- Assignment. You may not transfer your account or these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Notices. We send notices to the email on your account or post them in the dashboard; you can reach us at the contact address below.
- Electronic communications. You consent to receive communications from us electronically, and you agree that electronic notices, agreements, and records satisfy any legal requirement that such communications be in writing.
- No third-party beneficiaries. These Terms are for the benefit of you and SlideReply only and create no rights in any third party, save that our owners, employees, and suppliers may rely on the disclaimers and limitations of liability set out above.
- Export and sanctions. You represent that you are not located in, and will not use the Service from, a country or territory subject to comprehensive sanctions, and that you are not a person with whom dealings are restricted under applicable trade-control or sanctions laws.
- Independent parties. Nothing in these Terms creates any partnership, agency, joint venture, or employment relationship between you and SlideReply.
20. Changes to these terms
We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, give notice in the dashboard or by email. Continued use after a change takes effect constitutes acceptance of the updated Terms.
